Overview

1. GENERAL

  • 1.1. READ THIS AGREEMENT CAREFULLY BEFORE USING ANY SEA QUANTUM’S SERVICES. THIS IS A LEGALLY BINDING AGREEMENT BETWEEN CUSTOMER (referred to herein as “CUSTOMER”) AND SEA QUANTUM SDN BHD (hereinafter referred to as “SEA QUANTUM OR THE COMPANY (The Company)”).

  • 1.2. Please note that this agreement is subjected to change and it is CUSTOMER’s responsibility to regularly check for modifications. If CUSTOMER signed up for the Service before the Revision date listed above, the new version will become effective thirty (30) days after the Revision date listed above. Continued use of the service constitutes acceptance of the new version of this agreement.

  • 1.3. SEA QUANTUM reserves the right to terminate or refuse service to anyone, at any time and for any reason, including but not limited to violation of SEA QUANTUM’s Acceptable Use Policy (AUP) or laws of Malaysia. Should SEA QUANTUM terminate the CUSTOMER’s service for a reason other than violation of the Acceptable Use Policy, SEA QUANTUM will issue the CUSTOMER a refund for the remaining paid period of service. Under no circumstances is SEA QUANTUM responsible for any damages resulting from termination of service. SEA QUANTUM reserves the right to refuse service to particular individuals or entities, at its sole discretion, with or without a cause.

  • 1.4. SEA QUANTUM has the right to cancel products and services without refund for pending orders due to insufficient information and/or documents supplied. All information & document(s) shall be submitted to SEA QUANTUM within 30 days from the purchase date, any failure to do so will result in the cancelation of the services/products by SEA QUANTUM.

2. OUR OBLIGATIONS

  • 2.1. SEA QUANTUM will provide the quantum computing advisory services in accordance with the product description and in accordance with the existing policies.

  • 2.2. SEA QUANTUM is obligated to provide all quantum computing advisory services to their CUSTOMERS in a prompt and professional manner.

  • 2.3. SEA QUANTUM will never sell or disclose CUSTOMER’s contact information, data or CUSTOMER lists to any third party, unless required by law or specifically authorised by CUSTOMER.

3. CUSTOMER OBLIGATIONS

  • 3.1. CUSTOMERS must use reasonable security precautions in regard to using SEA QUANTUM

  • 3.2. CUSTOMER is obligated to comply with the current Malaysian laws and with AUP.

  • 3.3. CUSTOMERS are required to cooperate with SEA QUANTUM during investigation of service outages, security problems, and/or any suspected breach of the AUP.

  • 3.4. CUSTOMER is responsible for keeping account permissions, billing, and other account information up-to-date. CUSTOMERS are obligated to pay the fees for the services within the period of time stated in the invoice to avoid suspension of service.
 

4. CONTENT

  • 4.1. All content services provided by SEA QUANTUM may only be used for lawful purposes. The laws of Malaysia apply. The CUSTOMER agrees to indemnify and hold SEA QUANTUM harmless from any claims resulting from the use of our services. Please refer to the AUP for more details on prohibited content and practices.

5. CUSTOMER SUPPORT

  • 5.1. SEA QUANTUM provides CUSTOMER service from 09:00 a.m. to 17:00 p.m., and is committed to providing the best possible support for all CUSTOMERS. SEA QUANTUM at its sole discretion reserves the right to deny providing services requested by the CUSTOMER with or without reasons. For any services rendered, charged or not charged, SEA QUANTUM provides support on the “best-effort” basis. SEA QUANTUM shall and will not be held responsible for any other issues that resulted directly or indirectly due to the support given. Should SEA QUANTUM provide FREE support to the CUSTOMER in any instance, this is a courtesy service and cannot be defined as evidence that SEA QUANTUM must commit to providing FREE support to the CUSTOMER for the lifetime of the services agreed upon. In this case, SEA QUANTUM reserves the right to stop providing courtesy service to the CUSTOMER at any time.

  • 5.2 Customers are responsible to backup their own data at all times. SEA QUANTUM is not responsible for any problems or data loss due to misunderstanding, miscommunication or mistakes. SEA QUANTUM will not be held liable for any compensation as our service is of best effort basis.

6. PAYMENT

  • 6.1. Payments are generally due upon purchase of products or services from the website upon payment made via ecommerce platform on the SEA QUANTUM’s website itself.

  • 6.2. Any discrepancy or dispute in invoice or payment made must be reported to SEA QUANTUM within 30 days after payment is made. SEA QUANTUM will not accept any dispute in payment made after 30 days.

7. PRICE PROTECTION

  • 7.1. The amount CUSTOMER pays for SEA QUANTUM’S products or services will never increase from the date of purchase unless there are certain terms involved such as a first-year promotion etc. SEA QUANTUM reserves the right to change any packages or prices listed in our website and has the right to adjust the amount of resources given to the packages at any time without prior notice. Should the CUSTOMER request to upgrade the features of the subscribed package, there may be an upgrade fee incurred.

  • 7.2. PRICE PROTECTION does not apply to third-party licensed products. Such third-party licensed products may have their pricing amended without preliminary warning.

8. ACCEPTABLE USE POLICY

  • 8.1. CUSTOMER is required to read SEA QUANTUM’s Acceptable Use Policy (“AUP”). CUSTOMER will adhere to the AUP and will not allow the SEA QUANTUM services or equipment to be used for activities prohibited by such policies. SEA QUANTUM may revise the AUP from time to time by posting a new version thereof on the SEA QUANTUM Website, and CUSTOMER is responsible for awareness of such revisions. In the event of any conflict between the AUP and Terms and Conditions, the Terms and Conditions will govern. SEA QUANTUM may impose penalty fees to the CUSTOMER if the AUP is violated.

9. WARRANTY

  • 9.1. SEA QUANTUM’s services are provided on an “as is” and “as available” basis. SEA QUANTUM does not warrant that the service will be uninterrupted, error-free, or free from viruses or other harmful components. SEA QUANTUM makes no express or implied warranties, including without limitation warranties of title, non-infringement, merchantability, or fitness for a particular purpose. No advice provided by SEA QUANTUM or any of its representatives will create a warranty.

10. INDEMNIFICATION

  • 10.1. CUSTOMER agrees that they shall indemnify SEA QUANTUM harmless from any and all demands, liabilities, losses, costs and claims, including legal fees asserted against SEA QUANTUM, its agents, its CUSTOMERS, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by CUSTOMER, its agents, employees or assigns. CUSTOMER agrees to defend, indemnify and hold harmless SEA QUANTUM against liabilities arising out of:
    • Any injury to person or property caused by any products sold or otherwise distributed in connection with SEA QUANTUM;
    • Any material supplied by CUSTOMER infringing or allegedly infringing on the proprietary rights of a third party;
    • Any copyright infringement;
    • Any defective products sold by CUSTOMER from SEA QUANTUM’s server.

11. DISCLAIMER

  • 11.1. SEA QUANTUM will not be liable for any consequential, incidental, exemplary, punitive, or multiple damages, even if SEA QUANTUM was advised in advance of the possibility of such damages. SEA QUANTUM’s maximum liability arising out of or related to provision of its services will not exceed the total amount of fees billed to CUSTOMER during the 12 months preceding the claim.

  • SEA QUANTUM will have no liability whatsoever for any claims, losses, actions, damages, suits, or proceedings resulting from:
      • Other SEA QUANTUM CUSTOMERS or third parties accessing CUSTOMER’s data or assigned computers;
      • Security breaches;
      • Eavesdropping;
      • Denial of service attacks;
      • Interception of traffic sent or received using SEA QUANTUM’s service;
      • CUSTOMER’s reliance on or use of the service;
      • Mistakes, omissions, interruptions, deletions of files, errors, defects, delays in operation, or other failures of performance of the service;
      • The accuracy, completeness, and usefulness of the service; or loss of data or loss of access to data.
    SEA QUANTUM’s limitations and exclusions of liability apply equally to SEA QUANTUM’s officers, employees, agents, contractors, representatives, suppliers, subsidiaries, parents, and affiliated companies.
